Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and eSoftver d.o.o. ("RaicoHub", "we", "our", "us"), Bavaništanski put 334, 26000 Pančevo, Republic of Serbia, PIB 113339582, governing your use of the RaicoHub website at raicohub.com and the RaicoHub desktop application (together, the "Service").

1. Acceptance of terms

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not accept any part of these Terms, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You may not use the Service if you are located in, under the control of, or a national of any country subject to comprehensive sanctions imposed by the European Union, the United Nations, the United States, or the Republic of Serbia.

3. The Service

RaicoHub is a remote-desktop application for Windows and macOS. Installed on two computers, it lets one of them see and control the other — screen, mouse, keyboard, file transfer and shared clipboard — after the computer being shared supplies its ID and password, or has been configured by its owner for unattended access.

We may add, change, or remove features at any time. Where a change materially reduces functionality you were paying for, we will notify you and offer a pro-rata refund where required by law.

4. Accounts

When account features launch, you will be required to register with a valid email address. You are responsible for keeping your credentials secure, for all activity under your account, and for promptly notifying us at podrska@esoftver.rs of any unauthorized use.

5. Beta status

The Service is currently in beta. Beta features may be incomplete, unstable, or removed without notice. Beta access is provided "as is" without any warranty. We may impose usage limits, change pricing, or discontinue beta access at our discretion.

6. Acceptable use

You agree not to:

• Use the Service in violation of any applicable law, regulation, or third-party right.
• Reverse engineer, decompile, or attempt to extract source code, except to the extent expressly permitted by mandatory law.
• Probe, scan, or test the vulnerability of the Service without our prior written permission.
• Use the Service to generate or distribute malware, spam, harassing content, child sexual abuse material, or content that infringes intellectual property.
• Resell, sublicense, or proxy access to the Service without our prior written permission.
• Use the Service to operate critical-safety systems (medical decision-making, autonomous vehicles, weapons systems, etc.).
• Bypass or attempt to bypass usage quotas, rate limits, or authentication mechanisms.

Violations may result in immediate suspension or termination, with no refund.

7. Your content

You retain all ownership rights in screen frames, transferred files, clipboard content, and any other content that passes through the Service ("User Content"). You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, transmit, process, and display User Content solely as necessary to operate the Service for you. We do not use User Content to train any model.

8. Remote sessions & authorisation

A remote session gives you control over someone else’s computer. You may only connect to a machine you own or are clearly authorised to access, and you are solely responsible for everything you do during a session — including files you move, settings you change, and data you can see. Connecting without the owner’s consent may be a criminal offence in your jurisdiction. Either side can end a session at any time, and both sides are shown while it is active.

9. Third-party services

The Service relies on third-party infrastructure for distribution and for relaying connections when a direct path is unavailable. We are not responsible for the availability or performance of those third-party services.

10. Fees & billing

The Service is currently offered free of charge during beta. When paid plans launch, billing terms (price, frequency, refund policy, taxes) will be presented before you are charged and become part of these Terms by reference. You may cancel a paid plan at any time effective at the end of the current billing period.

11. Intellectual property

The Service, including all software, designs, logos, trademarks, text, and audiovisual material (excluding User Content), is owned by eSoftver d.o.o. or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. All other rights are reserved.

12. Feedback

If you send us suggestions or feedback, we may use them without restriction or compensation. You waive any moral rights in feedback to the extent permitted by law.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranty of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted, error-free, or secure. Some jurisdictions do not allow exclusion of certain warranties; in those jurisdictions, the above exclusions apply only to the extent permitted.

14. Limitation of liability

To the maximum extent permitted by law, in no event will RaicoHub or its directors, employees, or affiliates be liable to you for:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, business, or goodwill;
• The cost of substitute services;
• Damages arising from anything done during a remote session, by you or by a person you granted access to.

Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the fees you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred euros (EUR 100). These limits apply regardless of the theory of liability and even if we were advised of the possibility of such damages. Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

15. Indemnification

You agree to indemnify and hold harmless RaicoHub, its officers, employees, and affiliates from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your User Content, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) your use of the Service to access a computer you were not authorised to access.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if continued provision becomes commercially impractical. Sections that by their nature should survive termination — Privacy, IP, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Miscellaneous — survive.

17. Governing law & disputes

These Terms are governed by the laws of the Republic of Serbia, without regard to conflict-of-laws rules. The courts of Pančevo, Serbia have exclusive jurisdiction over any dispute, except that consumers domiciled in the EU may bring proceedings before the courts of their habitual residence to the extent required by EU consumer-protection law.

Before filing a claim, you agree to first attempt to resolve the dispute informally by emailing us. We will respond within 30 days. EU consumers may also use the European Commission's Online Dispute Resolution platform.

18. Changes to these terms

We may modify these Terms at any time. The "last updated" date at the top reflects the most recent change. For material changes we will provide reasonable advance notice (e.g., banner in the website or app, email where we have one). Continued use of the Service after the effective date of changes constitutes acceptance.

19. Miscellaneous

• Entire agreement: these Terms together with the Privacy Policy and any plan-specific terms form the entire agreement between you and us.
• Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
• No waiver: our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment: you may not assign these Terms without our written consent. We may assign these Terms to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
• Force majeure: we are not liable for failure or delay caused by events beyond our reasonable control.
• Notices: we may notify you by email, in-app banner, or website posting. You may notify us at podrska@esoftver.rs.
